What's good to know
A purchase agreement for a property can only be concluded in writing. It must precisely identify the property being transferred according to its entry in the Land Register, as well as the contracting parties themselves. It usually also contains the purchase price and payment terms, although according to case law a purchase agreement can be concluded even without these elements. A professionally prepared purchase agreement also includes the seller's declaration about the legal and factual condition of the property, which is important with regard to the seller's liability for defects. The agreement should also address how and in what condition the property is to be handed over to the buyer (it is advisable to state that the property will be vacated, or that certain furnishings will be left in it). Any inaccuracy or missing element may lead to the registration application being rejected by the Land Registry.
The law does not directly require official verification of signatures on the purchase agreement, but if the parties do not wish to visit the Land Registry office in person during the registration proceedings to declare that the signature on the contract is theirs, verification is necessary. This can be done at a notary, an attorney, or at a Czech POINT counter (found at Czech Post branches or municipal offices). Signatures are not verified on the registration application itself.
Setting the payment terms correctly is key to the safety of both parties. Without a notarial, bank or attorney escrow of the purchase price, one of the parties is always at a disadvantage and the transaction is therefore not entirely safe. If the purchase price is paid to the seller before the buyer's ownership is registered in the Land Register, the buyer is at risk if the registration does not go through as it should for any reason (for example, due to newly commenced enforcement against the seller's assets). If, on the other hand, the parties agree that the buyer pays only after their ownership is registered, this arrangement is risky for the seller. If the buyer fails to fulfil their obligation as promised, the seller ends up with neither the property nor the money. Attorney escrow resolves the situation so that the transaction is safe for both parties.
Even the best template usually does not adequately resolve a complex situation such as a property transfer. Even in a template, the property must be correctly identified in accordance with cadastral regulations, and incorrect identification will lead to the registration application being rejected and the filing fee being forfeited. It also often happens that the contract fails to include a property that should be part of the transaction — typically co-ownership shares in the land around apartment buildings. By using a template, you deprive yourself of the support of a professional who bears responsibility for their services and who is insured in case they cause you damage.
For maximum security, I recommend combining the purchase agreement with attorney escrow of the purchase price. For an additional CZK 5,000 (CZK 10,000 in total), both parties gain the certainty that the transaction will go through smoothly and completely safely.
